Proprietary Information You represent and warrant that all information you provide is accurate, true and complete. Silk Rainbow will have no liability for breach of your representations in this Agreement. Silk Rainbow is not obligated to pay you if you violate any provision of this Agreement. All information relating to the calculation of the amounts paid to you and to the identity of sales, including but not limited to, the number of sales received by Silk Rainbow and the email addresses of sales, shall be considered proprietary information of Silk Rainbow, and shall be held in strictest confidence by you and will not, without the prior written consent of Silk Rainbow, be disclosed by you to any other person, in any manner whatsoever, in whole or in part, and will not be used by you directly or indirectly for any purpose other than confirming the correctness of the calculation referred to above.

Order Processing We will process all product orders placed by customers who follow Special Links from your site to our site. We will be responsible for all aspects of order processing and fulfillment. Among other things, we will prepare order forms, process payments, cancellations, and returns, and handle customer service. We will track sales made to customers who purchase Products by using Special Links from your site to our site and will make available to you a report summarizing this sales activity. The form and content of the report may vary from time to time at our discretion. Customers who follow Special Links from your site to our site will be considered Silk Rainbow customers.

Licenses and Usage Guidline Silk Rainbow hereby grants to you a limited, non-exclusive, revocable license to establish Links to the Silk Rainbow website and use, in connection with such Links, each Image (including all copyrighted, trade or service marked or other protected intellectual property contained therein) solely for the purposes described in this Agreement; provided, that you will not add, subtract or in any way alter or edit any Image (including, for this purpose, any machine-readable code which may be a part of any Image), frame the Silk Rainbow site, nor will you make any use whatsoever of any Image or any other element of Silk Rainbow's intellectual property (including but not limited to Silk Rainbow's name, whether used in a url, a metatag or otherwise) other than for the express purposes of, and as contemplated by, this Agreement or as may otherwise be specified by Silk Rainbow in writing. You may not sub-license the Images to or permit anyone else to use the Images.

Development of Your Site You will be solely responsible for the development, operation, and maintenance of your site and for all materials that appear on your site. For example, you will be solely responsible for:
* the technical operation of your site and all related equipment
* the accuracy and appropriateness of materials posted on your site (including, among other things, all Product-related materials)
* ensuring that materials posted on your site do not violate or infringe upon the rights of any third party (including, for example, copyrights, trademarks, privacy, or other personal or proprietary rights)
* ensuring that materials posted on your site are not libelous or otherwise illegal
* ensuring that your site accurately and adequately discloses, either through a privacy policy or otherwise, how you collect, use, store, and disclose data collected from visitors, including, where applicable, that third parties (including advertisers) may serve content and/or advertisements and collect information directly from visitors and may place or recognize cookies on visitors' browsers.
*Uploading the graphics provided and linking your site to ours.
We disclaim all liability for these matters. Further, you will indemnify and hold us harmless from all claims, damages, and expenses (including, without limitation, attorneys' fees) relating to the development, operation, maintenance, and contents of your site. You and we are independent contractors and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative or employment relationship between the parties. You will have no authority to make or accept any offers or representations on our behalf.

Modification Silk Rainbow may revise these terms from time to time, at our sole discretion, by updating the Affiliate Agreement posted on the Silk Rainbow website. Unless otherwise provided below, the revised terms will take effect when they are posted. Your continued use of the Service will signify your acceptance of the modified terms. If you do not accept the modified terms, you must notify Silk Rainbow in writing as to your non-acceptance. You agree you will review the terms of the Affiliate Agreement on the Silk Rainbow website frequently to remain apprised of any changes or modifications to this Agreement. This agreement is made in accordance with and governed by the laws of the State of South Carolina. Any provision of this agreement deemed unenforceable by a competent court of jurisdiction may be deleted, leaving the remainder of the agreement operable and in effect. In the event of a dispute, your only recourse is to terminate this agreement. Each party intends that this Agreement shall not benefit, or create any right or cause of action, on behalf of any person other than the parties.

Miscellaneous Each party indemnifies and holds harmless the other party and each of its agents, officers, directors, and employees against all liability to third parties, including attorney's fees and costs resulting from the acts, or failures to act, of such indemnifying party, or any acts of its customers or users. Silk Rainbow agrees to indemnify you for any actions based on stolen credit card information or fraudulent applications or other credit card abuses from sales completed on the Silk Rainbow website. In no event shall either party be liable for consequential, incidental or special damages, including loss of profits or cost of replacement goods under this Agreement. Silk Rainbow reserves the right to disclose your contact information to legal, regulatory or other governmental authorities and/or to affected third commencement of a criminal investigation or civil litigation relating to such violation.
NO WARRANTIES ARE MADE BY EITHER OF THE PARTIES TO THIS AGREEMENT AS TO THE SERVICES OR TECHNOLOGY DESCRIBED IN THIS AGREEMENT AND EACH PARTY EXPRESSLY DISCLAIMS ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE OR NONINFRINGEMENT AS IT RELATES TO THE TECHNOLOGY AND SERVICES PROVIDED PURSUANT TO THIS AGREEMENT.
